TERMS OF USE FOR TONET

Terms of Use

These Terms of Use ("Terms") govern your use of the services provided by Tonet LLC ("Tonet," "we," "us," or "our"), including the Tonet business phone system, dashboard, mobile and desktop applications, API, and related telecommunications services (collectively, the "Services"). By creating an account or using any part of our Services, you agree to these Terms. If you do not agree, do not use our Services.

Tonet is a cloud-based business phone system (UCaaS) that provides voice calling, SMS messaging, voicemail, call routing, and related features over the internet.

1. Your Account

To use our Services, you must create an account with accurate, complete information. You are responsible for keeping your account information current and your login credentials secure. You must notify us immediately at support@tonet.ai if you believe your account has been compromised.

You are responsible for all activity that occurs under your account, including activity by users you add to your account. If you create an account on behalf of a business, you represent that you have authority to bind that business to these Terms.

We may suspend or disable your account if we believe it has been compromised, is being used in violation of these Terms, or if required to comply with law or regulation.

2. Services and Availability

Tonet provides internet-based telecommunications. Our Services depend on your internet connection, compatible devices, and third-party infrastructure including SIP trunking providers and data centers. We work to keep the platform reliable, but we do not guarantee uninterrupted service. Occasional downtime for maintenance or due to circumstances outside our control may occur.

We may modify, update, or discontinue features of the Services at any time. If we make changes that materially reduce the functionality you are paying for, we will give you reasonable notice.

3. Fees, Payment, and Billing

Pricing Plans

Tonet offers two pricing plans:

  • Pay-as-you-go: A per-user monthly base fee plus per-minute calling charges and per-message SMS charges. You are billed based on actual usage.
  • Unlimited: A flat per-user monthly fee that includes unlimited domestic calling and SMS messaging, subject to the Fair Usage Policy below.

Balance and Daily Billing

Tonet uses a prepaid balance system. You fund your account by adding credit via credit or debit card. Service charges are deducted from your balance daily based on your active users and usage for that day. If your balance reaches zero, your service may be interrupted until you add more funds.

There are no long-term contracts. You can cancel at any time by contacting support@tonet.ai. Your remaining balance is non-refundable unless required by law.

Phone Numbers

Phone numbers provisioned through Tonet incur a monthly fee that is deducted from your balance. If you cancel service, your numbers will be released after a grace period. We will make reasonable efforts to notify you before releasing numbers, but we are not liable for numbers that are released due to an unpaid balance.

Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any federal, state, local, or other governmental taxes, fees, or surcharges that apply to your use of the Services.

Fee Changes

We may change our pricing at any time. We will notify you of price changes at least 30 days in advance. If you do not agree with a price change, you may cancel your service before the new pricing takes effect.

Refunds

Account balances are generally non-refundable. We will provide refunds where required by law or at our discretion for billing errors.

4. Fair Usage Policy

Our Unlimited plan is designed for normal business use. It is not intended for call centers, auto-dialers, broadcast messaging, or other high-volume operations that generate traffic significantly beyond what a typical small business would produce.

We consider the following to fall outside normal business use:

  • Sustained call volumes that significantly exceed the average for accounts of similar size
  • Patterns consistent with auto-dialing, predictive dialing, or robocalling
  • Bulk or automated SMS messaging
  • Reselling or sharing your Tonet service with third parties
  • Using the service primarily for conference bridging or media streaming
  • Any usage that degrades service quality for other customers

If we determine that your usage falls outside normal business use, we will contact you first to discuss the situation. We may then ask you to move to a pay-as-you-go plan, adjust your usage, or we may apply reasonable usage charges to your account. In cases of clear abuse, we reserve the right to suspend or terminate service.

Our approach: We would rather work with you than against you. If your business genuinely needs high volume, talk to us - we can put together a plan that works for both sides.

5. Acceptable Use

You agree not to use our Services to:

  • Make robocalls, auto-dialed calls, or send unsolicited bulk messages in violation of the Telephone Consumer Protection Act (TCPA) or similar laws
  • Engage in caller ID spoofing for fraudulent or deceptive purposes
  • Transmit threats, harassment, or illegal content
  • Interfere with or disrupt the Services, our infrastructure, or other customers' use of the Services
  • Use the Services for any purpose that violates applicable law, including but not limited to telemarketing regulations, wiretapping laws, and export controls
  • Resell, sublicense, or provide the Services to third parties without our written permission
  • Reverse engineer, decompile, or attempt to extract the source code of our software
  • Send spam or unsolicited commercial messages via SMS
  • Use the Services to conduct denial-of-service attacks or generate artificially inflated traffic

We may suspend or terminate your account immediately and without notice if we determine that you are violating this Acceptable Use Policy.

6. Text Messages from Tonet

Tonet LLC may send you text messages (SMS) about your account, such as account updates, verification codes and replies to support requests you send us by text. You opt in to these messages by ticking the SMS consent checkbox on our signup form. Consent is not a condition of purchase.

  • Message frequency varies.
  • Message and data rates may apply. Tonet does not charge you for receiving our text messages; your mobile carrier may.
  • Reply STOP to any message to opt out. You will receive one final message confirming that you have been unsubscribed.
  • Reply HELP to any message, email support@tonet.ai or call (888) 836-3006 for help.
  • Messages come from (702) 703-3320, (702) 707-7022 and (888) 836-3006.
  • Carriers are not liable for delayed or undelivered messages.
  • We do not share your mobile number with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.

7. Call Recording and Consent

Tonet offers call recording as a feature. You are solely responsible for complying with all applicable laws regarding call recording, including obtaining consent from all parties to a call where required. Recording laws vary by jurisdiction - some states and countries require consent from all parties on the call, while others require consent from only one party.

Tonet is not responsible for your failure to comply with call recording laws. By using the call recording feature, you represent that you have obtained all required consents.

8. Emergency Services (911/E911)

Important limitations on emergency calling: Tonet is an internet-based phone service (interconnected VoIP) and has inherent limitations for 911/E911 emergency calls compared to traditional phone service. Please read this section carefully.

Tonet provides interconnected VoIP service that supports 911/E911 calling, but this service differs from traditional 911 in important ways. You should always maintain an alternative means of accessing emergency services, such as a mobile phone or traditional landline.

When 911 may not work or may be limited

911/E911 service through Tonet may not be available or may not function correctly in the following circumstances:

  • During a power outage at your location (your internet equipment requires power to operate)
  • If your broadband internet connection is down or degraded
  • If your VoIP equipment or software fails, is not properly configured, or needs to be rebooted after a power or network interruption
  • If you have relocated your equipment or are using the service at an address different from your registered service address
  • If your registered address on file is incorrect, incomplete, or outdated - your 911 call may be routed to the wrong emergency dispatch center or provide an incorrect location to first responders
  • If you are using a phone number associated with a different geographic area than your physical location
  • During network congestion or service interruptions
  • If your account is suspended or terminated for nonpayment or any other reason

Your responsibilities

  • You must provide and maintain an accurate, complete service address (Registered Location) for each location where you use Tonet. If you move your equipment or use the service at a new address, you must update your Registered Location immediately.
  • You must inform all users at your location of the limitations of 911 service through Tonet.
  • You should keep an alternative means of calling 911 available at all times (such as a mobile phone).
  • Following a power or internet outage, you may need to restart your equipment before 911 service is available again.

Limitation of liability for 911/E911

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER TONET NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL BE LIABLE FOR ANY CLAIM, DAMAGE, OR LOSS ARISING DIRECTLY OR INDIRECTLY FROM YOUR INABILITY TO ACCESS 911/E911 SERVICES THROUGH TONET, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM SERVICE OUTAGES, POWER FAILURES, BROADBAND FAILURES, INCORRECT OR OUTDATED REGISTERED LOCATION INFORMATION, NETWORK CONGESTION, OR ANY OTHER CIRCUMSTANCE IN WHICH 911/E911 SERVICE IS UNAVAILABLE, DELAYED, OR MISDIRECTED. BY USING TONET, YOU ACKNOWLEDGE THAT YOU UNDERSTAND THESE LIMITATIONS AND ACCEPT RESPONSIBILITY FOR MAINTAINING AN ALTERNATIVE MEANS OF ACCESSING EMERGENCY SERVICES.

9. Number Porting

You may port existing phone numbers to Tonet from other carriers, and you may port numbers away from Tonet to another carrier, subject to standard industry porting procedures. Porting timelines depend on the releasing carrier and are outside our control. We will not block or unreasonably delay legitimate port-out requests.

10. Privacy

Our collection and use of your personal information is described in our Privacy Policy, which is part of these Terms. By using our Services, you agree to the Privacy Policy.

11. Intellectual Property

All rights, title, and interest in the Services, including our software, branding, trademarks, and documentation, belong to Tonet. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Services as described here.

When you share feedback, ideas, or suggestions with us, you agree that we may use them freely without compensation or obligation to you.

12. Third-Party Services

Our Services may integrate with or link to third-party services (such as CRM platforms, calendar applications, or payment processors). We are not responsible for the content, practices, or availability of third-party services. Your use of third-party services is governed by their own terms and policies.

13. Limitation of Liability

To the maximum extent permitted by law, Tonet and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services. This includes, without limitation, damages arising from service outages, lost or dropped calls, failed message delivery, or data loss.

Our total liability for any claim arising from or related to these Terms or the Services will not exceed the amount you paid to Tonet in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Tonet, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or regulation.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify you by email or through the Services. Your continued use of the Services after changes take effect means you accept the updated Terms. If you disagree, you may cancel your account.

16. Termination

You may cancel your account at any time by contacting support@tonet.ai.

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms or the Acceptable Use Policy, if required by law, or for any other reason at our discretion. We will make reasonable efforts to notify you before termination except in cases of abuse or legal obligation.

Upon termination, your right to use the Services ends immediately. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

17. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any disputes arising from these Terms or the Services will be resolved in the courts located in Clark County, Nevada.
